1. Applicability

1.1. These Terms and Conditions apply to all offers, quotations, deliveries, products, services, and any other legal relationship between T-Tape Company ("T-Tape") and the customer.

1.2. Any purchasing conditions or other terms used by the customer are expressly rejected.

1.3. Deviations or changes to these Terms and Conditions are only valid if agreed in writing.

2. Offers and Agreements

2.1. All offers, quotations, and price indications are without obligation unless explicitly stated otherwise.

2.2. An agreement is only formed after written confirmation by T-Tape or when T-Tape has started performing the agreement.
2.3. T-Tape reserves the right to refuse orders or requests without providing reasons.

3. Prices

3.1. All prices are exclusive of VAT, import duties, transport costs, and other taxes or levies, unless stated otherwise.
3.2. T-Tape may adjust prices due to changes in raw material costs, production costs, transport, or energy prices.
3.3. If prices change after an agreement has been made, the customer may cancel the agreement in writing within 7 days after being informed of the change.

4. Delivery

4.1. Delivery takes place Ex Works (EXW – Incoterms), unless agreed otherwise in writing.
4.2. Delivery times provided by T-Tape are estimates only and are not binding.
4.3. T-Tape is not liable for delays caused by third parties, transport companies, customs, or circumstances beyond its control.
4.4. The risk of the products transfers to the customer once the goods have left T-Tape’s premises.

5. Transport

5.1. Transport takes place at the customer’s cost and risk.
5.2. If T-Tape arranges transportation, it does so solely as an intermediary. T-Tape is not liable for any transport-related damage or loss.

6. Payment

6.1. Payment must be made within 30 days of the invoice date unless otherwise agreed in writing.
6.2. If the customer fails to pay on time, they are in default automatically, without the need for a formal notice.
6.3. In the event of default, the customer owes statutory commercial interest as well as all (extra-) judicial collection costs.
6.4. T-Tape may suspend current or future deliveries if previous invoices remain unpaid.

7. Retention of Title

7.1. All delivered goods remain the property of T-Tape until all outstanding invoices have been paid in full.
7.2. The customer may not pledge, resell, or process goods subject to retention of title without written permission.

8. Product Information and Use

8.1. T-Tape manufactures thermoplastic materials intended for medical, orthopaedic, veterinary, and creative applications.
8.2. Technical and safety information is provided to the best of T-Tape’s knowledge but does not constitute a guarantee.
8.3. The customer is responsible for correct processing, handling, and storage of the materials.
8.4. T-Tape is not liable for incorrect or unsafe use of the products by the customer or third parties.

9. Warranty and Complaints

9.1. T-Tape guarantees that its products comply with the specifications stated in the applicable technical data sheets.
9.2. The customer must inspect delivered goods immediately upon receipt.
9.3. Complaints must be submitted in writing within 7 days of delivery, including a clear description and, if possible, supporting photographs.
9.4. If a complaint is justified, T-Tape may choose to:

  • replace the product; or

  • credit the invoice value of the affected goods.

9.5. T-Tape is not liable for defects caused by improper storage, processing, or use of the products.

10. Liability

10.1. T-Tape’s total liability is always limited to the invoice value of the delivery that caused the damage.
10.2. T-Tape is not liable for:

  • indirect or consequential damages (including loss of profit),

  • damage resulting from improper use,

  • damage caused by third parties.

10.2. The limitations stated in this article do not apply in cases of intent or gross negligence on the part of T-Tape.

11. Force Majeure

11.1. Force majeure includes, but is not limited to:
supplier failures, raw material shortages, fire, flooding, natural disasters, cyber incidents, pandemics, war, strikes, transport disruptions, and governmental restrictions.
11.2. During a force majeure situation, T-Tape’s obligations are suspended.
11.3. If the force majeure period exceeds 60 days, both parties may terminate the agreement in writing without compensation.

12. Confidentiality

12.1. Both parties must keep confidential all business, technical, and commercial information received during their cooperation.
12.2. This obligation remains in force after termination of the agreement.

13. Applicable Law and Disputes

13.1. All agreements with T-Tape are governed exclusively by the laws of the Netherlands.
13.2. Any disputes shall be submitted to the competent court in the district of Zeeland-West-Brabant, unless mandatory law specifies otherwise.

14. Amendments

14.1. T-Tape may amend these Terms and Conditions at any time.
14.2. The most recent version applies to all new agreements.
14.3. Customers will be notified of significant changes affecting ongoing agreements.
